Code of Ethics
Independence and trust are the reason clients choose Intology. This code sets out the standards we hold ourselves to, and what you can hold us to.

In short: Intology takes no commissions, referral fees or rebates from vendors or integrators, declares any conflict before work starts, keeps client and deal information confidential, tells boards what they need to hear, and only takes on work it can deliver with senior people.
1. Independence
- We take no commissions, referral fees, rebates or other incentives from software vendors, systems integrators or other suppliers that we assess or recommend.
- We do not resell third-party software or services. Where we recommend something Intology owns, such as our own tools or papers, we say so first.
- Our recommendations rest on evidence and on the client's interests, never on the prospect of follow-on work for Intology.
2. Conflicts of interest
- Before any engagement starts we check for conflicts and declare in writing anything that could reasonably be seen to affect our judgement.
- We will not act for both buyer and seller on the same transaction, or for competing bidders for the same target.
- If a conflict arises during an engagement, we raise it at once and agree with the client how it will be managed, or we step back.
3. Confidentiality and inside information
- Client information is used only for the engagement it was shared for, and is protected under written confidentiality terms.
- Transaction and price-sensitive information is handled strictly on a need-to-know basis. No one working for Intology may use it to deal in securities or pass it on.
- We do not name clients publicly without their permission.
- Personal data is handled in line with the UK GDPR and the Data Protection Act 2018. Intology is registered with the Information Commissioner's Office (ZB399745). Our privacy policy explains how we use personal data.
4. Honest, independent advice
- We tell boards and sponsors what they need to hear, including when a programme is off track or a deal carries risk, and we put our findings in writing.
- We do not soften conclusions to protect a relationship or to win further work.
- We base our advice on evidence, and we are clear where we are relying on judgement or on information we have not been able to verify.
5. Competence and accountability
- We only accept work we are qualified and experienced to deliver, and we deliver it with senior people.
- We agree scope, deliverables and fees in writing before work begins, and we say early if scope or cost needs to change.
- Intology carries professional indemnity insurance with AXA Insurance UK plc. Evidence of cover is available to clients and procurement teams on request.
6. Responsible use of AI
- A senior person remains accountable for every piece of advice and every deliverable we provide.
- We use AI tools only under business terms that do not train on client data, and we never put client confidential information into consumer AI services.
- We will explain how we use AI on an engagement whenever a client asks.
7. Fair and transparent fees
- Fees are agreed in advance and invoiced transparently, with no hidden mark-ups on expenses or third-party costs.
8. Integrity in business
- We do not offer, give, request or accept bribes, and we comply with the Bribery Act 2010. Any gift or hospitality must be modest, proportionate and transparent.
- We oppose modern slavery in all its forms and expect the same of our suppliers.
- We treat everyone fairly and with respect, and we do not tolerate discrimination, harassment or bullying.
9. Who this code applies to
This code applies to everyone who delivers work under the Intology name, including directors, employees and contractors. Each person commits to it in writing before working with a client.
10. Raising a concern
If you believe anyone working for Intology has fallen short of this code, email [email protected] with the subject line "Ethics concern", or call +44 330 551 9401. Concerns go directly to the Director. We acknowledge every concern within two working days and aim to respond in full within ten working days. No one who raises a concern in good faith will be treated unfairly for doing so.
11. Review
The Director reviews this code at least once a year and whenever our services or obligations change.
